1.Introduction
1.1. "Wecastore" is an e-commerce platform consisting of a website and a mobile application ("marketplace"), as well as an IT, logistics, and payment infrastructure, for the sale and purchase of consumer products and services ("products").
1.2. These General Terms and Conditions apply to buyers and sellers on the Marketplace and govern their use of the Marketplace and all associated services.
1.3. By using our Marketplace, you agree to these general terms and conditions in their entirety. If you do not agree with these general terms and conditions or any part of them, then you must not use our Marketplace.
1.4. If you use our marketplace in the course of a business or any other commercial project.
1.4.1. confirm that you have obtained the necessary authorization to accept these general terms and conditions;
1.4.2. commit, along with the person, company, or any other legal entity operating this business or commercial project, to comply with these general terms and conditions;
1.4.3. accept that the term "you," used in these general terms and conditions, refers to both the individual user and the person, company, or legal entity concerned, unless the context requires otherwise.
2.Registration and Account
2.1. You cannot register on our Marketplace if you are under 18 years old (by using our Marketplace or accepting these terms and conditions, you guarantee and declare that you are at least 18 years old).
2.2. If you register to create an account on our marketplace, you will be asked to provide an email address/user ID and a password, and you agree to:
2.2.1. keep your password confidential;
2.2.2. immediately inform us in writing (using our contact details provided in section 26 below) if you become aware of a disclosure of your password.
2.2.3. be responsible for any activity on our Marketplace resulting from a failure to maintain the confidentiality of your password, and acknowledge that you may be held liable for any loss resulting from such failure.
2.3. Your account must be used exclusively by you, and you must not transfer your account to any third party. If you authorize a third party to manage your account on your behalf, you do so at your own risk.
2.4. We may suspend or cancel your account and/or modify the details of your account at any time, at our sole discretion and without notice or explanation, provided that if we cancel products or services that you have already paid for but have not yet received, and you have not breached these terms and conditions, we undertake to refund the amount you have paid. See section 4.2 below for further information on refunds.
2.5. You may unsubscribe and delete your account on our marketplace at any time by contacting us at the contact details provided in section 26 below.
3.Terms and Conditions of Sale
3.1. You acknowledge and agree that:
3.1.1. our marketplace provides an online location and transaction facilitation for sellers to list and sell their products on our marketplace, and for buyers to purchase the products offered by the sellers;
3.1.2. we accept firm sales, on behalf of the sellers, but (unless Wecastore is listed as the seller) Wecastore is not a party to the transaction between the seller and the buyer.
3.1.3. a contract for the sale and purchase of one or more products will come into force between the buyer and the seller, and accordingly you agree to buy or sell the relevant product(s) upon the buyer's confirmation of purchase via our Marketplace.
3.2. Subject to these terms and conditions, the seller's commercial terms govern the contract of sale and purchase between the buyer and the seller. Notwithstanding the foregoing, the following provisions will be incorporated into the contract of sale and purchase between the buyer and the seller:
3.2.1. the price of any product will be as indicated in the listing and description of the relevant product.
3.2.2. the price of any product must include all taxes and comply with applicable laws in force from time to time.
3.2.3. delivery charges, packaging charges, handling charges, administrative fees, insurance fees, other ancillary fees and charges will only be payable by the buyer if
expressly and clearly indicated in the listing and description of the relevant products, and delivery of digital products may be made electronically.
3.2.4. the products must be of adequate and satisfactory quality, fit for any specified purpose in the product listing and any other description of the products provided or made available to the buyer by the seller, and comply in all material respects with that listing.
3.2.5. with respect to physical products sold, the seller warrants that it has title to and is the sole legal and beneficial owner of the products and/or has the right to provide such products in accordance with this agreement, and that such products are not subject to any third party rights or restrictions or prohibitions, including with respect to intellectual property rights and/or any criminal, insolvency, or tax investigation or proceeding; and with respect to digital products, the seller warrants that it has the right to provide the digital products to the buyer.
3.2.5. The seller warrants that, when a product sold is subject to such conditions, it will provide detailed information about the product's conditions, any applicable warranties, and any other necessary conditions to inform the buyer about the product and its use in the specifications section provided on each product page on our marketplace.
4.Returns and refunds
4.1. Returns of products by buyers and acceptance of returned products by sellers will be managed by us in accordance with the conditions defined on the "Returns" page available on our Marketplace, which may be modified from time to time. Acceptance of returns will be at our discretion, subject to compliance with applicable laws in the Territory.
4.2. Refunds for returned products will be managed in accordance with the conditions defined on the "Refunds" page available on our Marketplace, which may be modified from time to time. Our refund rules will be exercised at our discretion, subject to compliance with applicable laws in the Territory. We may offer refunds, at our discretion:
4.2.1. for the price of the product;
4.2.2. for local and/or international shipping fees (as indicated on the refund page on our marketplace);
4.2.3. through store credits, vouchers, mobile money transfers, bank transfers, or any other method we may determine from time to time.
4.3. Returned products will be accepted and refunds issued by Wecastore, acting for and on behalf of the seller. Notwithstanding paragraphs 4.1 and 4.2 above, with respect to digital products or services and fresh food, Wecastore will only issue refunds for a failure or defect in delivery. Refunds for payment of these products for any other reason will be subject to the seller's general terms and conditions of sale.
4.4. Changes to our "Returns" page or "Refunds" page available on our Marketplace will be effective and apply to all purchases made from the date of publication of such modification on our website.
5.Payments
5.1. You must make payments due under these terms and conditions in accordance with the Payment Information and Guidelines available on our Marketplace.
6.Store credits
6.1. Store credits can be earned and managed in accordance with the general terms and conditions of Wecastore store credits, as they may be modified from time to time. Wecastore reserves the right to cancel or withdraw Wecastore store credit rewards for any reason at its discretion, including if we suspect fraud or illegal activity. You can review Wecastore's general terms and conditions for store credits and information about your Wecastore store credit account on our website and mobile application.
7.Promotions
7.1. Promotions and contests organized by Wecastore and/or other promoters or advertisers will be managed in accordance with the General Conditions of Promotions, when applicable. You can consult the General Conditions of Promotions, when applicable, on our website or mobile application.
8.Rules regarding your content
8.1. In these general conditions, "your content" means:
8.1.1. all works and materials (including, but not limited to, texts, graphics, images, audio material, video material, audiovisual material, scripts, software, and files) that you submit to us or that you submit to our marketplace for storage or publication, processing, or further transmission;
8.1.2. all communications on our marketplace, including product reviews and ratings, remarks, reactions, and comments.
8.2. Your content and the use of your content by us, in accordance with these general conditions, must be accurate, complete, and authentic.
8.3. Your content must be appropriate, civil, and tasteful, and comply with generally accepted standards of ethics and behavior on the Internet, and must not:
8.3.1. be offensive, obscene, indecent, pornographic, suggestive, or sexually explicit; 8.3.2. depict violence in an explicit, graphic, or gratuitous manner;
8.3.3. be blasphemous, in violation of legislation on racial or religious hatred or discrimination;
8.3.4. be misleading, fraudulent, threatening, abusive, harassing, antisocial, hateful, discriminatory, or incendiary;
8.3.5. cause discomfort, inconvenience, or unnecessary anxiety to anyone 8.3.6. constitute spam.
8.4. Your content must not be illegal or unlawful, infringe any legal rights of any person, or be likely to give rise to a legal action against any person (in each case, in any jurisdiction and under any applicable law). Your content must not infringe or violate:
8.4.1. any copyright, moral right, database right, trademark right, design right, or any other intellectual property right;
8.4.2. any right to privacy or any right under data protection legislation;
8.4.3. any contractual obligation owed to any person;
8.4.4. any court order or judicial decision.
8.5. You must not use our marketplace to establish a link to a website or web page consisting of or containing any element or content which, if published on our marketplace, would violate the provisions of these general conditions.
8.6. You must not submit to our marketplace any material or content that has or has previously been subject to threats or actual legal proceedings or any similar complaint.
8.7. The function that allows users on our Marketplace to give their opinion and feedback can be used to facilitate buyer evaluations of products. You must not use
this function or any other form of communication to provide inaccurate, inauthentic, or false reviews and/or opinions.
8.8. You must not interfere with a transaction by: (i) contacting another user to buy or sell an item listed on our Marketplace outside of our Marketplace; or (ii) communicating with a user involved in an active or completed transaction to warn them against a particular buyer, seller, or item; or (iii) contacting another user with the intention of collecting payments.
8.9. You acknowledge that all users of our Marketplace are solely responsible for their interactions with other users and you must exercise caution and good judgment in your communication with users. You must not send them personal information, including your credit card details and any payment method.
8.10. We may periodically review your content and reserve the right to remove any content at our discretion for any reason.
8.11. If you become aware of any illegal or illicit element, content, or activity on our marketplace, or any element, content, or activity that violates these terms and conditions, you may inform us by contacting us at the contact details set out in section 26 below.
9.Our rights to use your content
9.1. You grant us a worldwide, irrevocable, non-exclusive, and royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content on our marketplace and through our marketing channels and any existing or future media.
9.2. You grant us the right to sublicense the rights granted under Article 9.1.
9.3. You grant us the right to take legal action for any violation of the rights granted under Article 9.1.
9.4. You hereby waive all your moral rights in your content to the extent permitted by applicable law; and you warrant and represent that all other moral rights in your content have been waived to the maximum extent permitted by applicable law.
9.5. Without prejudice to our other rights under these terms and conditions, if you violate our rules on content in any way, or if we reasonably suspect that you have violated our rules on content, we may remove, not publish, or modify all or part of your content.
10.Use of the Website and Mobile Applications
10.1. In this section 10, the terms "marketplace" and "website" are to be used interchangeably to refer to WeCastore's website and mobile applications.
10.2. You may:
10.2.1. view the pages of our website in a web browser;
10.2.2. download pages of our website for caching in a web browser;
10.2.3. print pages of our website for your personal and non-commercial use, provided
that such printing is not systematic or excessive;
10.2.4. stream audio and video files from our website using the multimedia player on
our website; and
10.2.5. use our Marketplace services through a web browser, subject to compliance
with the other provisions of these Terms and Conditions.
10.3. Except as expressly permitted by section 10.2 or other provisions of these Terms and Conditions, you must not download any element of our website or save such an element to your computer.
10.4. You may only use our website for personal and business purposes to sell or buy products on our Marketplace.
10.5. Except as expressly permitted by these Terms and Conditions, you must not edit or modify in any way any element or content on our website.
10.6. Unless you own or control real and relevant rights in the material or content in question, you must not:
10.6.1. republish the content or material from our website (including republication on
another website);
10.6.2. sell, rent, or sublicense the content or material from our website;
10.6.3. display any material or content from our website in public;
10.6.4. exploit the material or content from our website for commercial purposes; or 10.6.5. redistribute the material or content from our website.
10.7. Notwithstanding section 10.6, you may share links to products on our website and redistribute our newsletter and promotional material in printed and electronic form to anyone.
10.8. We reserve the right to suspend or restrict access to our website, certain parts of our website, and/or features of our website. For example, we may suspend access to the website during server maintenance or when we are updating the website. You
must not bypass or attempt to bypass any access restriction measures on the website.
10.9. You must not:
10.9.1. use our website in any way or take actions that cause or may cause damage to the website or affect its performance, availability, accessibility, integrity, or security; 10.9.2. use our website in an unethical, illegal, unlawful, fraudulent, or harmful manner or in connection with any unethical, illegal, unlawful, fraudulent, or harmful purpose or activity;
10.9.3. hack or alter our website by any means;
10.9.4. probe, scan, or test the vulnerability of our website without our permission;
10.9.5. bypass any authentication or security system or process on our website or in
connection with it;
10.9.6. use our website to copy, store, host, transmit, send, use, publish, or distribute
any material or content consisting of (or linked to) any spyware, computer virus, Trojan
horse, worm, keystroke logger, rootkit, or any other malicious computer software;
10.9.7. impose an unreasonably high load on the resources of our website (including
bandwidth, storage capacity, and processing capacity);
10.9.8. decrypt or decipher any communication sent to or from our website without
our permission;
10.9.9. Undertake systematic or automated data collection activities (including,
without limitation, scraping, data mining, data extraction, and data collection) on or in
relation to our website without our express written consent;
10.9.10. Access our website or otherwise interact with it using any robot, spider or
other automated means, except for the purpose of search engine indexing;
10.9.11. Use our website except through our public interfaces;
10.9.12. Violate the guidelines set forth in our website's robots.txt file;
10.9.13. Use data collected on our website for any direct marketing activity (including,
without limitation, email marketing, SMS marketing, telemarketing and direct mail);
10.9.14. Do anything that interferes with the normal use of our website.
11.Intellectual Property (Copyright) and Trademarks
11.1. Subject to the express provisions of these terms and conditions:
11.1.1. We, together with our licensors, own and control all copyright and other
intellectual property rights in our website as well as in the material and any content on
our website;
11.1.2. All copyright and other intellectual property rights in our website as well as the
material and content on our website are reserved.
11.2. The Wecastore logos and our other registered and unregistered trademarks are trademarks that belong to us; we do not grant any permission for the use of these trademarks, and such use may constitute a violation of our rights.
11.3. Third-party registered and unregistered trademarks or service marks on our website are the property of their respective owners, and we do not endorse or are affiliated with any of the holders of these rights and, as such, we cannot grant any license to exercise these rights.
12.Data Privacy
12.1. Buyers agree to the processing of their personal data in accordance with the
terms set forth in Wecastore's Privacy and Cookie Notice.
12.2. Wecastore will process all personal data obtained through the marketplace and
associated services in accordance with the terms and conditions set forth in
Wecastore's Privacy and Cookie Notice and Privacy Policy.
12.3. Sellers are directly responsible to buyers for any misuse of their personal data, and Wecastore assumes no responsibility to buyers with respect to any misuse of their personal data by sellers.
13.Due Diligence and Right of Audit
13.1. We implement a compliance program for the fight against fraud and money laundering, and we reserve the right to conduct pre-checks on all users of our marketplace.
13.2. You agree to provide us with all information, documents, and access to your commercial premises that we may require:
13.2.1. in order to verify your membership and performance of your obligations under
these terms and conditions;
13.2.2. for disclosure, pursuant to a valid court order or other governmental agency;
13.2.3. to the extent required by applicable law or regulation.
14.The role of Wecastore as a Marketplace
14.1. You acknowledge that:
14.1.1. Wecastore provides a marketplace for third-party buyers and sellers, or Wecastore when Wecastore is the seller of a product;
14.1.2. the seller concerned with the sale of products on the marketplace (whether Wecastore is the seller or a third-party seller) remains solely responsible for the products they sell on the marketplace at all times;
14.1.3. In case of any issues related to the purchase of a product on the marketplace, the buyer must contact the relevant seller of the product by following the process defined in the Dispute Resolution Policy.
14.2. We ensure that Wecastore, or third-party sellers, as applicable, submit information about their products on the marketplace that is complete, accurate, and up-to-date in accordance with the following:
14.2.1. The relevant seller guarantees and represents the completeness and accuracy of its information published on our marketplace regarding its products.
14.2.2. The relevant seller guarantees and represents that the information published on the marketplace is up-to-date.
14.2.3. If a buyer has a claim regarding the accuracy or completeness of the information about the products received from a seller (including when Wecastore is the seller), the buyer may contact the relevant seller by following the process defined in Wecastore's Dispute Resolution Policy.
14.3. We do not guarantee or represent that the marketplace will function without failure, or that any service on the marketplace will remain available during events beyond Wecastore's control (including events of force majeure), which include, but are not limited to: floods, droughts, earthquakes, or other natural disasters; hacking, viruses, malware, or other malicious software attacks on the marketplace; terrorist attacks, civil wars, civil unrest, or riots; wars, threats of war, or war preparations; epidemics or pandemics; or unconstitutional events or circumstances that materially and negatively affect the political or macroeconomic stability of the territory as a whole.
14.4. We reserve the right to interrupt or modify all or part of our services on the marketplace and to stop publishing our marketplace at any time, at our sole discretion, without notice or explanation. You will not be entitled to any compensation or other payment in case of interruption or modification of any service offered on the marketplace or if we cease publishing the marketplace. This is without prejudice to your rights regarding any unfulfilled order or any other existing liability of Wecastore.
14.5. If we interrupt or modify all or part of our marketplace in circumstances not related to a case of force majeure, we will provide buyers and sellers with at least fifteen (15) days' notice with clear indications of the steps to be taken for ongoing transactions or other existing obligations of Wecastore.
14.6. We do not guarantee any commercial result concerning the use of the marketplace.
14.1.3. in the event of a problem related to the purchase of a product on the
marketplace, the buyer must contact the relevant seller of the product by following the
process defined in the Wecastore Dispute Resolution Policy.
14.2. We undertake that Wecastore or third-party sellers, as the case may be, will
submit product information on the marketplace that is complete, accurate, and up to
date, in accordance with the following:
14.2.1. the relevant seller guarantees and represents the completeness and accuracy
of their published information on our marketplace regarding their products;
14.2.2. the relevant seller guarantees and represents that the information published on
the marketplace is up to date;
14.2.3. if a buyer has a claim regarding the accuracy or completeness of information
about products received from a seller (including when Wecastore is the seller), the
buyer may contact the relevant seller by following the process defined in the
Wecastore Dispute Resolution Policy.
14.3. We do not guarantee or represent that the marketplace will function without failure, or that any service on the marketplace will remain available in the event of events independent of Wecastore's will (including events constituting force majeure) which include, but are not limited to: a flood, a drought, an earthquake or other natural disasters; hacking, viruses, malicious software or other malware attacks on the marketplace; terrorist attacks, civil wars, civil unrest or riots; wars, threats of war or preparations for war; epidemics or pandemics; or extra-constitutional events or circumstances that materially and negatively affect the political or macroeconomic stability of the territory as a whole.
14.4. We reserve the right to interrupt or modify all or part of our services of the Marketplace, and to cease publishing our marketplace, at any time, at our sole discretion, without notice or explanation; and you will not be entitled to any compensation or other payment in the event of interruption or modification of any service offered on the marketplace, or if we cease publishing the marketplace. This is without prejudice to your rights regarding any unfulfilled order or any other existing liability of Wecastore.
14.5. If we interrupt or modify all or part of our marketplace in circumstances unrelated to a case of force majeure, we will provide at least fifteen (15) days' notice to buyers and sellers with clear indications of what to do for ongoing transactions or other existing obligations of Wecastore.
14.6. We do not guarantee any commercial result regarding the use of the marketplace.
14.7. To the maximum extent permitted by applicable law and subject to section. 15.1 below, we exclude all representations and warranties relating to the subject matter of these terms and conditions, our marketplace and its use.
15.Limitations and exclusions of liability
15.1. Nothing in these general terms and conditions shall:
15.1.1. limit any liability in a way that is not permitted by applicable law; or
15.1.2. exclude any liability or legal right that cannot be excluded under applicable law.
15.2. The limitations and exclusions of liability set forth in this section 15 and elsewhere in these general terms and conditions:
15.2.1. are subject to the provisions of section 15.1;
15.2.2. govern all liabilities arising from these general terms and conditions or related
to the subject matter of these general terms and conditions, including contractual
liabilities, tortious liabilities (including negligence) and liabilities for breach of a legal
obligation, except to the extent expressly provided otherwise in these general terms
and conditions.
15.3. With respect to any services provided to you free of charge, we will not be liable to you for any loss or damage of any kind.
15.4. Our overall liability to you under any service contract pursuant to these general terms and conditions shall not exceed the total amount paid to us and payable under the contract. Each separate transaction on the marketplace constitutes a separate contract for the purposes of this section 15.
15.5. Notwithstanding section 15.4 above, we shall not be liable to you for any loss or damage of any kind, including with respect to:
15.5.1. any loss caused by an interruption or malfunction of the website;
15.5.2. any loss arising from an event or events beyond our reasonable control;
15.5.3. any business loss, including (without limitation) loss of profits or damage to
profits, revenue, income, use, production, anticipated savings, business, contracts,
business opportunities or goodwill;
15.5.4. any loss or corruption of any data, database or software;
15.5.5. any special, indirect or consequential loss or damage.
15.6. You agree that we have an interest in limiting the personal liability of our officers and employees and, given this interest, you acknowledge that we are a limited liability entity; you agree not to personally sue our officers or employees in connection with any losses you suffer in relation to the marketplace or these general terms and conditions (this will not limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).
15.7. Our marketplace includes hyperlinks to other websites owned and operated by third parties; these hyperlinks are not recommendations. We have no control over third-party websites and their content, and we accept no responsibility for them or for any loss or damage that may arise from your use of such sites.
16-Indemnification
16.1. You hereby indemnify us and agree to keep us indemnified against:
16.1.1. all losses, damages, costs, liabilities, and expenses (including, without
limitation, legal fees and any amounts paid by us to a third party in settlement of a
claim or dispute) incurred or suffered by us and arising directly or indirectly from your
use of our Marketplace or any breach by you of any provision of these Terms and
Conditions or any Wecastore codes, policies or directives;
16.1.2. any VAT liability or other tax liability that we may incur in connection with any
sale, supply or purchase made via our Marketplace, where such liability arises from
your failure to pay, withhold, declare or register for payment of any VAT or other tax
duly payable in any jurisdiction.
17.Violation of these terms and conditions
17.1. If we allow the creation and registration of an account on our Marketplace, it will
remain open indefinitely, subject to these terms and conditions.
17.2. If you violate these terms and conditions, or if we reasonably suspect that you
have violated these terms and conditions or any code, policy or directive of Wecastore
in any way, we reserve the right to:
17.2.1. temporarily suspend your access to our Marketplace;
17.2.2. permanently prohibit your access to our Marketplace;
17.2.3. prevent computers using your IP address from accessing our Marketplace;
17.2.4. contact one or all of your internet service providers and request that they block
your access to our Marketplace;
17.2.5. suspend or delete your account on our Marketplace;
17.2.6. take legal action against you for breach of contract or otherwise.
17.3. When we suspend, prohibit, or block your access to our Marketplace or a portion
of our Marketplace:
17.3.1. you must not take any action to circumvent such suspension, prohibition, or
blocking (including, without limitation, creating and/or using a different account).
18.Entire agreement
18.1. These general conditions of use, as well as Wecastore's codes, policies, and directives accessible on our Marketplace (and, with respect to sellers, the seller's applicable general conditions) constitute the entire agreement between you and us regarding your use of our Marketplace and supersede all prior agreements between you and us regarding your use of our Marketplace.
19.Hierarchy
19.1. In the event of a conflict between these general conditions of use, the seller's general conditions, and Wecastore's codes, policies, and directives, these general conditions of use, the seller's general conditions, and Wecastore's codes, policies, and directives shall prevail in the order indicated here.
20.Modification
20.1. We may revise these general conditions of use, the seller's general conditions,
and Wecastore's codes, policies, and directives from time to time.
20.2. The revised terms and conditions apply from the date of their publication on our
Marketplace.
21.Waiver
21.1. No waiver of any violation of any provision of these general conditions of use shall be construed as an additional or continuing waiver of any other violation of that provision or any other provision of these general conditions of use.
22.Divisibility
22.1. If any provision of these Terms and Conditions is held by any competent court or authority to be illegal and/or unenforceable, the other provisions shall remain in effect. 22.2. If any illegal and/or unenforceable provision of these Terms and Conditions would become legal or enforceable if some part of it were deleted, that part shall be deemed to be deleted, and the rest of the provision shall continue to have effect and remain in force.
23.Assignment
23.1. You hereby agree that we may assign, transfer, subcontract or otherwise deal
with our rights and/or obligations under these Terms and Conditions.
23.2. You may not assign, transfer, subcontract or otherwise deal with your rights
and/or obligations under these Terms and Conditions without our prior written
consent.
24.Rights of Third Parties
24.1. A contract made under these Terms and Conditions is for our benefit and your benefit, and is not intended to benefit or be enforceable by any third party.
24.2. The exercise of the parties' rights under a contract made under these Terms and Conditions is not subject to the consent of any third party.
25.Applicable Law and Jurisdiction
25.1. These general conditions are governed and interpreted in accordance with the
law of the Territory.
25.2. Any dispute relating to these general conditions is subject to the exclusive
jurisdiction of the competent courts of the Territory.
26.Contact Information and Notifications
26.1. You can contact us using the contact details in Annex 1.
26.2. You can contact our sellers for after-sales questions, including in the event of a
dispute, by asking Wecastore for their contact details, including the seller's full legal
name and, where applicable, the name of their shop, in accordance with the Dispute
Resolution Policy, under which Wecastore is required to ensure that the seller is
identifiable and clearly linked to the transaction in question.
26.3. You agree to receive electronic notices from us. We may provide all
communications and information related to your use of the marketplace in electronic
format, either by posting them on our website or application or by email to the email
address on your account. All such communications will be deemed to be written
notices received by you and will be duly delivered to you.
